Agreement to these terms

This website is operated by Citigen Solutions LLC, trading as Citigen Labs (“Citigen Labs,” “we,” “us,” or “our”), a limited liability company based in Newark, Delaware, United States. By accessing or using citigenlabs.com, you agree to these terms. If you do not agree with them, please do not use the site.

What these terms cover

These terms apply to this website only. They do not govern any project we take on for you. Client engagements are governed by a separate written agreement covering scope, deliverables, timelines, fees, ownership of work product, warranties, and confidentiality. Where that agreement conflicts with anything on this page, that agreement controls.

Nothing on this website is an offer to enter into a contract, and submitting the inquiry form does not create a client relationship. A client relationship begins only when both parties sign an engagement agreement.

Using this site

You may view, browse, and print pages from this site for your own business or personal reference. You agree not to:

• Use the site for any unlawful purpose, or in any way that could damage or impair it
• Attempt to gain unauthorized access to the site, its servers, or any connected system
• Introduce malicious code, or attempt to probe, scan, or test the site's vulnerabilities

The Citigen Labs name and logo, and the names of our products, including Veyalo, Vyser, Citigen Care, and CardMeet, are our marks. You may not use them without our prior written permission. Names of clients and their products, and any other product or company names mentioned on this site, belong to their respective owners and are used only to identify work we have done.

Inquiries and unsolicited ideas

Please read this section carefully before sending us anything through the inquiry form.

Information you submit through this website is not treated as confidential and is not subject to any non-disclosure obligation, unless we have already signed a written confidentiality agreement with you covering it. Do not send us trade secrets, proprietary specifications, or any material you consider confidential through this form. If you want to share something sensitive, email us first and we will put an appropriate agreement in place.

We work with many clients across similar industries, and we independently develop our own products. We may already be working on, or may in future work on, ideas similar to ones you describe. By sending us an unsolicited idea, suggestion, or proposal, you agree that we are under no obligation to keep it confidential, to compensate you for it, or to refrain from pursuing similar work. You also confirm that you have the right to send us whatever you submit.

Accuracy of content

We keep this site up to date as best we can, but we make no promise that its content is complete, current, or free of errors. Descriptions of our products, services, and capabilities are provided for general information and may change. Nothing on this site is professional, legal, financial, or technical advice, and you should not act on it without seeking advice suited to your circumstances.

Our total aggregate liability arising out of or connected with your use of this site will not exceed one hundred United States dollars (US$100). This limit does not apply to liability under a separate signed engagement agreement, which sets its own terms.

Indemnity

You agree to indemnify and hold harmless Citigen Solutions LLC and its members, officers, employees, and contractors from any claim, loss, liability, or expense, including reasonable legal fees, arising from your misuse of this site or your breach of these terms.

Governing law and jurisdiction

These terms and any dispute arising from them are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any such dispute.

If you are a consumer resident in the United Kingdom or the European Economic Area, this does not deprive you of the protection of mandatory consumer law in your country of residence, or of the right to bring proceedings in your local courts.

General

If any provision of these terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between us regarding this website.

Changes to these terms

We may revise these terms from time to time. The date at the top of this page shows when they were last changed. Continuing to use the site after a change means you accept the revised terms.
